These Terms govern your use of CLMSign (the “Service”), operated by Alfa Tech. By creating an account or using the Service, you agree to these Terms.
CLMSign provides electronic-signature workflows through the web app, Chrome extension and Google Docs add-on. The Service can create signing invitations, collect electronic-signature consent and signer actions, generate a completed PDF, preserve audit evidence, and provide document-integrity information.
CLMSign is a technology service and does not provide legal advice. Electronic-signature requirements vary by jurisdiction, document type and transaction. You are responsible for determining whether electronic signatures are appropriate for your transaction and whether additional formalities are required.
When you sign or request a signature through CLMSign, you intend the electronic signature and related electronic records to have legal effect for that transaction. Signers may be asked to affirmatively consent to electronic records and signatures before completion.
CLMSign records evidence such as timestamps, IP address, browser/user-agent information, consent events, signer actions and document hashes. This evidence is intended to support authentication, integrity and later verification of the signing process. It does not guarantee enforceability in every jurisdiction or for every document type.
Some categories of documents may be excluded from electronic-signature laws or may require notarization, qualified signatures, witnesses, government forms, certified digital signatures or other special procedures. You must verify the requirements that apply to your transaction.
By using the Google Docs add-on to sign or send a document, you instruct CLMSign to export the active Google Doc to PDF and transmit it to CLMSign for the requested signing workflow.
You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You must provide accurate registration information and may be required to verify your email before sending documents.
You may not use CLMSign for fraud, impersonation, unlawful transactions, malware distribution, harassment, unauthorized bulk messaging, or documents you do not have the right to send. You may not attempt to bypass authentication, billing, security controls or audit protections. We may suspend or terminate accounts that violate these requirements.
You retain ownership of documents and content you submit. You grant CLMSign the limited rights necessary to store, process, convert, transmit and reproduce that content solely to provide the Service and preserve completed signing records.
Completed signed records may be preserved together with their audit evidence to maintain transaction integrity, participant access and evidentiary value. A completed signed record may not be deletable in the same way as an unsigned draft. See the Privacy Policy for additional information.
CLMSign may provide complimentary envelopes and paid envelope credits. Current prices and quantities are displayed before checkout. Unless otherwise stated at checkout, purchased envelope credits do not expire. Payment processing is performed by the payment provider shown during checkout. See our Refund Policy.
The Service relies on third-party infrastructure and services, including hosting, storage, email delivery, payment processing, Google services and, for some transactions, independent timestamp authorities. Their availability may affect individual features.
We work to keep CLMSign available and reliable, but do not guarantee uninterrupted or error-free operation. We may improve, replace or discontinue features and may update these Terms when the Service or applicable requirements change.
References to ESIGN, UETA, eIDAS, Colombian electronic-signature rules or other legal frameworks describe product design goals and commonly relevant legal frameworks; they are not a warranty that a particular transaction is valid, enforceable, compliant or admissible. Users should obtain legal advice for high-value, regulated or jurisdiction-specific transactions.
To the maximum extent permitted by applicable law, the Service is provided “as is” and CLMSign and Alfa Tech will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Service. Nothing in these Terms excludes liability that cannot legally be excluded.
You may stop using the Service and request account deletion. We may suspend or terminate access for violations of these Terms, abuse, fraud, security risk or legal requirements. Retention of completed signed records may continue as described above.
These Terms are governed by the laws of Colombia, without regard to conflict-of-law rules, except where mandatory consumer or local law provides otherwise.
